Debenture Outstanding means any and all amounts payable by the Company to the Debenture holders and/or the Debenture Trustee in relation to the Debentures pursuant to the terms of the relevant Transaction Documents, including, without limitation:

If less than all of the Outstanding Senior Debentures are to be redeemed, Trustee shall redeem a pro rata portion of each Senior Debenture based on the percentage of the principal balance of the Senior Debentures to be redeemed in a manner such that the percentage of principal amount of the face amount of each Senior Debenture Outstanding is the same for each Outstanding Senior Debenture.
