Dealer Associate definition

Dealer Associate means an agent appointed by EZEM to market and distribute the Appliance in one or more countries or parts thereof outside of the United States; provided that the identity of each Dealer Associate and the terms of such appointment, which must be reflected in a written agreement, must be approved in writing in advance by VTAL, such approval not to be unreasonably withheld.

  • Assignment Neither this Agreement nor any part of it is assignable, transferable, sub-licensable, sub contractible or conveyable by Dealer Associate, either by operation of law or otherwise, without the express, prior, written consent of the ▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇ signed by an authorized representative of such a Party.
