DCS Financials definition

DCS Financials. : means (i) the unaudited financial statements of DCS at and for the year ended on December 31, 2015, inclusive of balance sheet, income statement, explanatory notes as well as the report issued by the directors and (ii) the unaudited interim financial statements of DCS at and for the quarter ended on March 31, 2016, in each case duly approved by the competent corporate bodies, copies of which are attached hereto as Annex 1.2 (e) .
DCS Financials means (i) the unaudited financial statements of DCS at and for the year ended on December 31, 2015, inclusive of balance sheet, income statement, explanatory notes as well as the report issued by the directors and (ii) the unaudited interim financial statements of DCS at and for the quarter ended on March 31, 2016, in each case duly approved by the competent corporate bodies, copies of which are attached hereto as Annex 1.2 (e).

Examples of DCS Financials in a sentence

  • None of the Group Companies has any liabilities of a nature required by the Accounting Principles to be disclosed on or reflected in a balance sheet except for (i) those set forth or accrued or reserved against in the Financial Statements or in the DCS Financials and (ii) those incurred in the ordinary course of business subsequent to the reference date of the Financial Statements or the DCS Financials, none of which is material in nature or amount.

  • The DCS Financials have been derived from the books and records of DCS and prepared in accordance with the Accounting Principles and fairly and accurately present in all material respects DCS’s financial position and results of operations as at and for the periods shown therein.

  • There are no material liabilities or debts of the Corporations, whether accrued, contingent, absolute, determined, determinable or otherwise, and there is no existing condition, situation or set of circumstances which could reasonably be expected to result in such a liability or debt which has not been disclosed in the DCS Financials or the Corporations Disclosure Schedule or which will not be disclosed in the Audited Financial Statements.
