By registering for an Account, User agrees to: (i) abide by this Agreement and the processes, procedures, and guidelines described on the Service; (ii) be financially responsible for User’s use of the Service and the purchase and/or delivery of DCP Services, as applicable; and (iii) perform User’s obligations as specified by any Booking Agreement that User accepts, unless such obligations are prohibited by applicable law or this Agreement.
A Practice may communicate patient information to a DCP via the Service, but only as necessary for such Practice and DCP to determine whether the DCP is qualified to perform the requested DCP Services and only to the extent such patient information is fully “de-identified”.
This release includes, for example and without limitation, any disputes regarding the performance, functions, and quality of DCP Services provided to Practice by a DCP and requests for refunds based upon disputes.
Employee agrees that if Employee applies for employment with the Company after receiving any benefits pursuant to this Agreement, Employee may be required to repay some or all of the benefits received pursuant to this Agreement and the DCP Services, LLC Executive Severance Plan as a condition of being hired by the Company as provided in the DCP Services, LLC Executive Severance Plan.
If and when Confidential Information is no longer needed for the performance of DCP Services for a Booking Agreement or at Practice's or DCP's written request (which may be made at any time at Practice's or DCP's sole discretion), the party that received Confidential Information, will, at its expense, promptly destroy or return the disclosing party's Confidential Information and any copies thereof contained in or on its premises, systems, or any other equipment otherwise under its control.
If Employee complies with Payment Conditions, Employee’s termination of employment under this release will be considered a qualifying layoff under the DCP Services, LLC 2008 Long-Term Incentive Plan (effective January 1, 2008) and any successor plans (provided Employee is a participant in such plan as of the Termination Date) and the terms and conditions thereof will continue to govern.
For clarification, the DCP Services shall not be considered a Key Service pursuant to Section 8.3 of the TSA.
This Agreement, together with the DCP Services, LLC Executive Severance Plan, is an integrated document.
DCP Services, LLC (the “Company”) hereby grants to you Phantom Units hereafter referred to as Restricted Phantom Units (“RPUs”) allocated as __________ DCP common units under the DCP Midstream, LP 2016 Long-Term Incentive Plan (the “Plan”) on the terms and conditions set forth herein.
This Agreement, including Exhibit A, together with the DCP Services, LLC Executive Severance Plan, is an integrated document.
