All Derivative Claims must be included as a part of the Claim Package submitted by or on behalf of the DCOC user.
Claimant further represents and warrants that Claimant will not seek from any Released Person any compensation for any future bills, costs, or Liens resulting from or arising out of Claimant’s alleged use of a DCOC.
Claimant agrees that the Released Persons shall have no responsibility whatsoever for satisfaction of any and all Liens, of any kind, that arise from or are related to payments made or services provided to Claimant, or on Claimant’s behalf, and past, present, or future bills, costs or Liens incurred in connection with the claims asserted by Claimant related to Claimant’s alleged use of a DCOC.
Claimant represents and warrants that all past and present bills, costs or Liens resulting from or arising out of the Claimant’s alleged use of a DCOC have been paid or will be paid as a part of the settlement.
These “Settled Claims” also include any cause of action that Claimant may attempt to assert against any attorney, law firm, or its employees as it relates to their representation of Bayer and/or other Released Person in connection with this settlement or the defense of Bayer and/or other Released Persons as that defense relates to DCOC claims asserted by any plaintiff or claimant, including Claimant.
Claimant and ▇▇▇▇▇▇▇▇’s Counsel agree to identify every Governmental Payor that may have made any payments on behalf of Claimants in any way related to ▇▇▇▇▇▇▇▇’s alleged use of a DCOC from the time Claimant alleges she first suffered injury from the alleged use of a DCOC through the date the SA is fully executed.
On and after the Effective Date, all references to the "DCOC Credit Agreements" shall be to the DCOC Credit Agreements as herein amended and all reference to the "DOC Credit Agreement" shall be to the DOC Credit Agreement as herein amended.
Claimant agrees that the Released Persons shall have no responsibility to pay or have paid any future bills, costs, or Liens resulting from or arising out of ▇▇▇▇▇▇▇▇’s alleged use of a DCOC.
DOC and DCOC shall pay all costs, fees, and expenses paid or incurred by DCOC Administrative Agent incident to this Amendment, including, without limitation, the reasonable fees and expenses of DCOC Administrative Agent's counsel in connection with the negotiation, preparation, delivery, and execution of this Amendment and any related documents.
The execution, delivery, and effectiveness of this Amendment shall not, except as expressly provided herein, operate as a waiver of any Rights of the DOC Lenders or DCOC Lenders under the Credit Agreements or any Loan Papers, nor constitute a waiver under the Credit Agreements or any other provision of the Loan Papers.
