Educator shall pay DCGP the License Fee prior to downloading, accessing, printing, copying or installing the DCGP Curriculum.
DCGP reserves all rights not expressly granted to Educator in this Agreement.
TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, DCGP’S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL NOT EXCEED IN THE AGGREGATE THE SUM OF THE LICENSE FEE PAID FOR THE DCGP CURRICULUM.
IN NO EVENT WILL DCGP BE LIABLE FOR ANY INDIRECT, DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE DCGP CURRICULUM, AND WITHOUT REGARD TO WHETHER SUCH CLAIM IS BASED IN CONTRACT, TORT OR ANY OTHER LEGAL OR EQUITABLE THEORY.
EDUCATOR HEREBY AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS DCGP FOR THE BREACH BY EDUCATOR OF THE TERMS AND CONDITIONS UNDER THIS AGREEMENT.
Educator acknowledges such ownership and Intellectual Property rights and will not take any action to challenge, undermine or interfere with DCGP’s ownership and Intellectual Property rights with respect to the DCGP Curriculum.
