If Dbvisit is required to enforce this Agreement or its rights, you irrevocably agree to receive legal notices and papers by electronic mail at your last known email address (Dbvisit will also attempt to send you a backup copy by regular mail or regular service).
After payment of the License Fee, Dbvisit will send you a certificate with a software license key for the Licensed Product (“Product Certificate”).
If you do not wish to enter into a new Support Agreement on this basis, you must notify Dbvisit in writing at least sixty (60) days prior to expiry of this Support Agreement.
You will not loan, rent, sublicense or distribute any part of the Licensed Product to persons not licensed under this Agreement through public networks or otherwise except to the extent expressly permitted in the licensing and usage rules for the type of Licensed Product you have acquired (as set out in the Documentation and/or Order Document) or otherwise agreed in writing by Dbvisit.
Dbvisit will use reasonable endeavours to respond and resolve each issue raised in accordance with the target times specified for the applicable priority rating in the Support Service Level Agreement.
Dbvisit has the sole right to control and direct the defense of any Claim.
Dbvisit shall have the right, not more than once in each year, to audit your compliance with the terms of this Agreement.
Dbvisit may use this information to provide support and to verify your compliance with this Agreement.
Dbvisit is not responsible for carrying out or completing the installation, implementation, testing or deployment of the Licensed Product, and Dbvisit will not be liable for any delay or deficiency in such installation, implementation, testing or deployment.
On termination of this Agreement, Dbvisit will cease providing all Implementation Services under this Agreement and will invoice you for the applicable Fees provided up to the date of termination.
