The Province acknowledges and agrees that it will not be reasonable for the Province to withhold its consent if a proposed Suitable Substitute Contractor has the financial capability, reputation, expertise, resources and abilities necessary to perform the obligations of the Contractor under the DBFO Agreement.
The Lender may not otherwise transfer or assign its rights and obligations under this Agreement except with the prior consent of the Province, who may withhold such consent if the Province, acting reasonably, considers that such assignment may in any material way impair or prejudice the rights of the Province under the DBFO Agreement.
