The Notes to be redeemed pursuant to a Datacenter Lease Termination Fee Mandatory Redemption, to the extent constituting less than all of the Notes, will be selected on a pro rata basis or by lot or such other similar method in accordance with the procedures of DTC, unless otherwise required by law or applicable stock exchange requirements.
Upon receipt by the Issuer of any Datacenter Lease Termination Fee pursuant to any Datacenter Lease, the Issuer will be required to apply 100% of the proceeds of such Datacenter Lease Termination Fee to redeem Notes for cash at a redemption price equal to 100% of the principal amount thereof plus accrued and unpaid interest to but excluding the date of redemption and in accordance with the procedures set forth in this Indenture (a “Datacenter Lease Termination Fee Mandatory Redemption”).
The Trustee will then mail, or deliver electronically if such Notes are held by any depositary (including DTC) in accordance with such depositary’s customary procedures, such notice of Datacenter Lease Termination Fee Mandatory Redemption to each registered Holder of Notes to be redeemed.
