  • In case of non-compliance by the outsourced Data Subprocessor, the Data Processor will remain fully responsible before the Data Controller, in terms of fulfilling the obligations.

  • The Data Processor is responsible for managing this new relationship, ensuring that the Data Subprocessor is subject to the same conditions (instructions, obligations, security measures, etc.), and complying with the same formal requirements regarding the Processing of Personal Data and guaranteeing the rights of the affected parties.

  • If the Data Sub-processor believes or becomes aware that any of the Data Processor’s instructions conflicts with any Data Protection Laws, the Data Sub-processor shall inform the Data Processor, who in turn shall inform the Data Controller.

  • In such a case, the Data Sub-processor shall inform the Data Processor, who in turn shall inform the Data Controller of that legal obligation.

  • The Data Processor and the Data Sub-processor shall process Personal Data until that termination date.

  • The Data Processor is therefore responsible for requiring that the Data Sub-processor at least meets the obligations imposed on it via the provisions of the DPA and the GDPR.

  • The Data Processor and the Data Sub-processor shall ensure that all such persons or parties have signed an appropriate confidentiality agreement, are otherwise bound to a duty of confidentiality, or are under an appropriate statutory obligation of confidentiality.

  • This provision shall apply without prejudice to the data subject’s rights arising from the GDPR, in particular from Articles 79 and 82 of the Regulation, to claim against the Data Controller and Data Processor, including the Data Sub-processor.
