D1 Share definition

D1 Share means a D ordinary share of £0.005 each in the capital of the Company, having the rights and being subject to the restrictions set out in the articles and "D1 Shares" shall be construed accordingly;

  • If any Dissenting Stockholder shall have failed to perfect or shall have effectively withdrawn or lost such right, such Dissenting Stockholder’s Shares shall thereupon be treated as if they had been converted into and become exchangeable for the right to receive, as of the Effective Time, the Merger Consideration for each such Share or Series D-1 Share, in accordance with Section 2.7(c), without any interest thereon.

  • One Series D-1 Share shall be convertible into ten (10) shares of Common Stock of the Borrower, subject to any terms, conditions, and adjustments as provided in the Series D-1 Certificate of Designation.
