Cyprus Merger Sub means Cyprus Acquisition Merger Sub, Inc., a Delaware corporation and the Borrower’s subsidiary established for the purpose of investing in shares of the Target.

Bank Merger Agreement has the meaning ascribed thereto in the recitals to this Agreement.
