As part of Standard Support Services, during such Term, DFS will provide any Upgrades or Updates to the applicable the FrameCyber Service, as the case may be, that DFS releases generally to its customers of the same without additional charge.
DFS shall use commercially reasonable efforts during the applicable Term to provide Standard Support Services for the FrameCyber Service.
DFS shall, at its expense, defend, indemnify and hold harmless Customer from and against any third party Claim based primarily on a Claim that Customer’s use of any of FrameCyber or any FrameCyber Service or other Services as expressly authorized by this Agreement in the United States infringes a patent, copyright, trade secret or other proprietary right of such third party (an “Infringement Claim”) and any Liabilities arising therefrom or associated therewith.
Customer shall, at its expense, defend, indemnify, save and hold harmless DFS and its Indemnitees from Claims and Liabilities resulting from Customer’s use of any of FrameCyber or any FrameCyber Service or other Services, except if covered by the next sentence.
Given the nature of the any of FrameCyber or any FrameCyber Service or other Services, DFS does not guarantee that the FrameCyber or Services will be error-free or uninterrupted or that all errors will be corrected.
Any dispute regarding this Agreement, Customer's subscription, FrameCyber, any FrameCyber Service or any other Service or any User access to or use of FrameCyber shall be resolved by the state or federal courts sitting in the Borough of Manhattan, in the State of New York or Newark, New Jersey.
