Cyber Claim definition

Cyber Claim means a Claim arising out of a breach or inaccuracy of any representation or warranty given by Sellers under Sections 18(l), 18(n), 18(o), 18(p), 18(q), 18(r), 18(s) and 18(t) of Annex F.
Cyber Claim means any Claim alleging, based upon, arising out of, or attributable to, in whole or in part, the unauthorized access or unauthorized use of, the misappropriation of information or data stored in, or the alteration, destruction, disruption or damage to, a computer, computer system or computer network owned, maintained or operated by or for the benefit of an Entity.
Cyber Claim means: a. a written demand including the service of a suit or institution of a regulatory or arbitration proceeding, received by the named member alleging a cyber liability event and seeking money or services; b. a written threat or initiation of a suit alleging a cyber liability event and seeking injunctive relief (meaning a temporary restraining order or a preliminary or permanent injunction); and c. with respect to coverage provided under Section 12A(3), institution of a regulatory proceeding against the member.

  • Customer will defend, indemnify, and hold harmless Vulcan Cyber, Vulcan Cyber Affiliates, distributors and suppliers and their respective directors, officers, employees, and suppliers from and against any third party claims, demands, actions, suits, proceedings, damages, losses, judgments and/or liabilities arising from, or related to or in connection with: (a) a Reverse Infringement Claim; and/or (b) Customer's unauthorized use of the Software or breach of this Agreement (each, a "Vulcan Cyber Claim").

  • Notwithstanding the foregoing, Northwoods shall have no obligation to defend or indemnify You, and ▇▇▇▇▇▇▇▇▇▇ will be defended and indemnified by You with respect to any Cyber Claim, to the extent that the Cyber Claim is based upon the sole negligence or willful misconduct of You.
