Between Developer and City, the liabilities, obligations and rights of such parties with respect to development of the chilled water system will be governed by the MDA and the CWSA.
Developer and City may at any time agree to replace the Escrow Agent upon twenty (20) days’ advance written notice thereof to Escrow Agent then acting (but such notice may be waived by ▇▇▇▇▇▇ Agent), together with written instructions respecting the CWSA Holdback.

Upon such resignation or replacement and delivery of the CWSA Holdback, Escrow Agent will be released from all liability arising thereafter under this Agreement.
During the development of the Property, Developer and Austin Energy will work together to execute a CWSA.
