Customer agrees to, and to cause the Authorized Users to, submit all newly developed Activities to LST for review and approval prior to making the Activity publicly available on the CViConnect Platform.
LST has developed CViConnect Professional Edition (“CViConnect Pro”), a mobile and web-based application for people with cortical visual impairment, and which LST makes available to subscribers on a subscription basis through its CViConnect Platform (as defined below).
Customer acknowledges that the CViConnect Platform is proprietary to LST and constitutes an LST trade secret.

LST and Customer recognize and acknowledge that employees who are engaged in CViConnect Platform development activities possess special, unique, and extraordinary technical talents which are in great demand in the present economy and further recognize and acknowledge that each Party has incurred substantial expense in recruiting and training such employees and would incur even greater expense if required to replace any such employee.
The CViConnect Platform will be kept confidential by Customer and will not be disclosed by Customer to any person or Party without LST's prior written consent, except those Customer employees who have a reasonably necessary need to know for operation of Customer's business.
Customer acknowledges and agrees that LST and/or its licensors own all Intellectual Property Rights in the CViConnect Platform, Services, LST Data, Maintenance Releases, and Authorized User Content, including Derivative Works thereof (collectively, the “LST Intellectual Property Rights”).
During the Term, LST will provide Customer with Updates and Upgrades as soon as reasonably possible after the launch of a new version of the CViConnect Platform.
