CVC Option definition

CVC Option means an option to buy CVC Class A Common Stock granted pursuant to a CVC Share Plan and outstanding as of the Distribution Date.

  • CVC may elect to purchase any or all of the CVC Available Securities by giving written notice to the Company within 20 days after the CVC Option Notice has been given by the Company.

  • As soon as practicable after the Company has determined that there will be CVC Available Securities, but in any event within 60 days after the Termination, the Company shall give written notice (the "CVC Option Notice") to CVC setting forth the CVC Available Securities and the purchase price for the Executive Preferred Stock and Executive Common Stock comprising the CVC Available Securities.

  • If neither the Company nor CVC (or its designee) elects to purchase all of the Stockholder Shares specified in the Transfer Notice, then the Offering Stockholder may transfer the Stockholder Shares specified in the Transfer Notice to the designated transferee at a price and on terms no more favorable to the transferee(s) thereof than specified in the Transfer Notice during the 60-day period immediately following the expiration of the CVC Option Period.

Related to CVC Option

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to Exercise the Option.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Vested Options means the Options that have vested in accordance with Section 1.3 of this Agreement.
