Customized Hardware definition

Customized Hardware means Hardware which has been modified by Seller pursuant to the request of Nortel Networks, either pursuant to a Statement of Work under the Development Agreement or as set out in the Specifications herein for Seller’s products for resale or OEM products.

Examples of Customized Hardware in a sentence

  • Customized Hardware is normally not possible to sell to other customers.

  • Nexus shall only be entitled to deliver and charge the cost for such Customized Hardware if there is no reasonable way for Nexus to sell the Customized Hardware to another customer.

  • If the Customer requires Customized Hardware to be provided by Nexus, Nexus shall notify the Customer that the Hardware in question require manufacture in advance or purchase of a certain volume.

Related to Customized Hardware

  • Customized Software or “Customization” means any Application Software code modified or amended on behalf of the Customer. Setting of parameters, parameterization or configuration is not a Customization.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • System Software means machine-readable data and executable programs used to define the functionality of the HPS control system and standard hardware products, but does not include firmware, operating system, application software or other software products.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.
