To the extent that the Customer's delay or failure to comply with a Customer Dependency does or may cause Darktrace to miss any timeframe for the performance of an obligation, Darktrace shall be entitled to an extension of time equivalent to the delay caused by the failure of the Customer Dependency.
To the extent that Customer’s delay or failure to comply with a Customer Dependency causes Darktrace to breach an obligation, Darktrace will be entitled to an extension of time equivalent to the delay caused by the delay or failure to comply with such Customer Dependency.
If the Customer fails to meet a Customer Dependency, despite using its Commercially Reasonable Efforts, then clause 21 (Customer Dependencies) of the Agreement applies.
Unless expressly stated otherwise in this Agreement as a Customer Dependency specific to Transition or Transformation, the Service Provider will provide all of the Equipment, Software and other resources as are necessary to implement the Transition, Committed Transformation and/or Future Transformation.
