  • In making his/her decision to purchase the Securities, Consultant has relied solely upon its review of the Current Filings, this Agreement, and independent investigations made by it or its representatives without assistance of the Company.

  • The Current Filings contain all material information concerning Purchaser, and no event or circumstance has occurred which would require Purchaser to disclose such event or circumstance in order to make the statements in the Current Filings, taken as a whole, not misleading on the date hereof or on the Closing Date but which has not been so disclosed.

  • Failure to make all such filings on or before the Current Filings Deadline or the Extended Deadline, as applicable, shall be an “Event of Default” under the Debentures.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.
