Current Base Salary definition

Current Base Salary. Election: By signing this Election Agreement, you hereby elect to forego receipt of 25% of your Current Base Salary for the one-year period commencing on November 25, 2013 (“Foregone Base Salary”) in exchange for the grant of Stock Units under the Plan covering a number of Shares with a total Fair Market Value as of the date of grant equal to 115% of the amount of such Foregone Base Salary (with the number of Shares rounded down to the nearest whole number). For example purposes only, if you sign this Election Agreement and the amount of your Foregone Base Salary would be $100,000, you would be granted Stock Units covering a number of Shares with a total Fair Market Value as of the date of grant equal to $115,000 (with the number of Shares rounded down to the nearest whole number).
Current Base Salary means an Executive’s annualized base salary at the rate in effect as of the date of his or her Involuntary Termination.
Current Base Salary means Executive's bi-weekly rate of base pay (excluding any bonuses or commissions) as of June 15, 2005, or such base pay as may thereafter be established by the Committee. Amounts deferred are referred to as the “Deferred Sum.” Current Base Salary minus 10% is referred to as “Adjusted Base Salary.”

Examples of Current Base Salary in a sentence

  • Any such Annual Management Bonuses paid to Executive shall be in addition to the Current Base Salary.

  • The Base Salary shall be reviewed annually by the compensation committee of the Board of Directors (the "Compensation Committee") and adjusted as determined by the Compensation Committee (the Base Salary as adjusted from time to time shall be referred to as the "Current Base Salary").

  • The Annual Management Bonus may range from 0% to 150% of 70% of Current Base Salary and shall be reviewed at least annually by the Compensation Committee.

  • If the Executive’s employment is involuntarily terminated by ▇▇▇▇ for any reason other than (i) Cause, (ii) circumstances under which the Executive would be entitled to the payments provided by Section 1 hereof or (iii) the Executive’s death or disability, the Executive shall be entitled to receive, and ▇▇▇▇ shall be obligated to pay, the Executive’s then Current Base Salary, as in effect immediately prior to such termination, for one (1) full year from the Executive’s date of termination.

  • The Executive shall also receive, at the expense of ▇▇▇▇, outplacement services, on an individualized basis at a level of service commensurate with the Executive’s most senior status with ▇▇▇▇ during the 180-day period prior to the date of the Change in Control, provided by a nationally recognized senior executive placement firm selected by ▇▇▇▇ with the consent of the Executive, provided that the cost to ▇▇▇▇ of such services shall not exceed 20% of the Executive’s Current Base Salary.

  • At the end of each fiscal year of Employer, Employer shall pay a cash bonus to Employee based on the following formula: Current Base Salary x Plan Fraction.

  • Assume the Current Base Salary is $200,000, and the plan revenue is $ 1,000,000.

  • Any such Performance-Based Variable Compensation paid to Executive shall be in addition to the Current Base Salary and, in the case of the first year of employment, shall reflect the period of time during which the Executive is actually employed by the Company during that fiscal year.

  • If the amount of the Current Base Salary is not determined for any quarter until one or more payments have been made to Physician in such quarter the remaining payments of Current Base Salary will be adjusted proportionately.

  • The Annual Management Bonus may range from 0% to 150% of 100% of Current Base Salary and shall be reviewed at least annually by the Compensation Committee.

  • Monthly Base Salary means 1/12th of the greater of (i) Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control Termination or a Covered Termination, as applicable, or (ii) in the case of a Change in Control Termination, Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control.

  • Accrued Base Salary means the amount of Executive's Base Salary which is accrued but not yet paid as of the Date of Termination.

  • Annual Salary means the salary given under this Part.
