Cumulative Value definition

Cumulative Value means the total of the following amounts as of the date we receive the Payment:
Cumulative Value means the value attributable to the approximately 40,000 acres of mineral interest owned by Shore in Terrebonne, Lafourche and St. Mary ▇▇▇ishes, Louisiana (as more particularly described in Exhibit "A," the "Louisiana Acreage"). The Cumulative Value shall initially be equal to $2,000,000, shall not exceed $10,000,000 and shall be recomputed on an incremental basis as of December 31 of each year following the Merger Date: (i) on values computed (PV 15% based on the Bank of Oklahoma's parties to this Agreement in good faith or, absent such an agreement, determined by a mutually acceptable third party whose decision shall be final. If the parties cannot agree on a mutually acceptable third party, the matter (or any other dispute related to the calculation of Cumulative Value which cannot be resolved in the same manner as the preceding sentence) shall be submitted to arbitration pursuant to Section 10.5 herein.
Cumulative Value means the value realized by the Corporation from the approximately 40,000 acres of mineral interest held by Shore Oil Company ("Shore") in Terrebonne, Lafourche and St. Mary ▇▇▇ishes, Louisiana (as more particularly described in Exhibit "A" attached hereto and incorporated by reference. The Cumulative Value shall be dated as of December 31 of each year following the Merger Date in accordance with Section 2.9(b) of that certain Agreement and Plan of Merger dated June 20, 1997 among the Corporation, Shore Acquisition Company, Shore and its shareholders, the provisions of such section are incorporated herein.

Examples of Cumulative Value in a sentence

  • If at the end of the 13th month the Intended Payments have not been received, an additional Sales Charge will be determined based on the difference between the Sales Charge determined using the Intended Payments and the Sales Charge determined based on the Cumulative Value.

  • The Sales Charge percentage applied to any Payments received during the 13-month period will be based on the Intended Payments if that percentage is less than the Sales Charge percentage determined based on the Cumulative Value.

  • For the purposes of this Section E.1, "Cumulative Value" means the value realized by the Corporation from the approximately 40,000 acres of mineral interest held by Shore Oil Company ("Shore") in Terrebonne, Lafourche and St. Mary ▇▇▇ishes, Louisiana (as more particularly described in Exhibit "A" attached hereto and incorporated by reference.

  • Upon signing the Agreement, ASSOCIATE's Cumulative Value will be established at $150,000 unless a higher value is warranted by ASSOCIATE's cumulative dollar purchases as described above.

  • If a Payment would cause the Cumulative Value on the date of such Payment to exceed the Maximum Amount shown on the Specifications Pages, or the Cumulative Value on the date of such Payment already exceeds the Maximum Amount, no additional Payments will be accepted without our prior approval.

  • The Cumulative Value shall be dated as of December 31 of each year following the Merger Date in accordance with Section 2.9(b) of that certain Agreement and Plan of Merger dated June 20, 1997 among the Corporation, Shore Acquisition Company, Shore and its shareholders, the provisions of such section are incorporated herein.

  • The discount will be based on ASSOCIATE's cumulative dollar value (the "Cumulative Value") of Category A, B and C Products purchased from SCHLUMBERGER over the preceding six (6) months plus the current month.

  • In the event the Specification Page indicates the Sales Charge is based on Cumulative Value, we may reduce the Sales Charge applied, or include additional accounts in the Cumulative Value total, on a non-discriminatory basis, for those Contracts where we expect reduced distribution expenses as a result of the additional accounts.

  • The Cumulative Value of Assistance Resources shall equal the value specified in Section 3.1 hereof for each item provided by Pawnbroker, including applicable interest and other related charges.


More Definitions of Cumulative Value

Cumulative Value means the value of a Strip of Company Securities upon and after giving effect to a Qualified IPO or a Change of Control. For purposes of determining Cumulative Value, (x) the value of a share of Common Stock will be determined by reference to the price at which a share of Common Stock is sold to the public in the Qualified IPO or valued in the Change of Control transaction, as applicable, (y) the value of a share of Preferred Stock shall be the Accreted Value thereof plus the sum of all amounts previously declared and paid in respect of such share as Special Dividends, and (z) the issuance of shares of Common Stock in respect of the Conversion Constant (as defined in the Company’s Amended and Restated Certificate of Incorporation) upon a Qualified IPO or Change of Control shall be included for purposes of determining the Cumulative Value but shall not be included for purposes of calculating the Preferred Stock Liquidity Payment.
