Each CUMIS Material Contract is valid and binding on the Company and each of its Subsidiaries party thereto and, to the Knowledge of the Company as of the date of this Agreement, CUMIS, and is in full force and effect, except for such failures to be valid and binding or to be in full force and effect that would not reasonably be expected to have a Company Material Adverse Effect.

Reports under this Article VII shall be submitted by PIC to CUMIS within forty-five (45) days of the end of each month for which the activity report is rendered and shall be substantially in the form as provided in Appendix A.
If coverage under this Contract shall expire while a Loss covered hereunder is in progress, subject to the other conditions of this Contract, CUMIS shall be responsible for its proportionate share of the Loss as if the entire Loss had occurred during the time this Contract is in force provided the Loss covered hereunder is stated before the time of coverage expiration.
The Trust and CUMIS agree that the obligations of the Trust under this Agreement will not be binding upon any of the Trustees, shareholders, nominees, officers, employees or agents, whether past, present or future, of the Trust, individually, but are binding only upon the assets and property of the Trust.
