Culpable definition

Culpable means sufficiently responsible for criminal acts or negligence to be at fault and liable to punishment for commission of a crime.
Culpable and “Culpability” have the meanings ascribed to them in Paragraph 5.5.5.
Culpable mental state means intentionally, knowingly, recklessly or with criminal negligence.

Examples of Culpable in a sentence

  • Culpable mental state is not required with respect to any material element of a violation of this Subsection.

  • Culpable breaches of the duties and obligations of the Participant arising out of the contract or culpable breaches of the ‘House Rules’ entitle the Organiser to immediately terminate the contract with immediate effect for an important reason if such breaches do not immediately cease after request.

  • Neither the Subadviser nor its Related Persons shall be liable for any error of judgment or mistake of law, or for any loss suffered by the Adviser or its Related Persons in connection with the matters to which this Agreement relates; provided that this provision shall not be deemed to protect the Subadviser or its Related Persons against any liability to which it might otherwise be subject by reason of any Culpable Act by the Subadviser or its Related Persons.

  • The Subadviser shall indemnify the Adviser and its Related Persons from and against any Damages arising directly or indirectly out of or in connection with the performance of services by the Adviser or its Related Persons under this Agreement or the Advisory Agreement, in each case, to the extent such Damages result from any Culpable Act of the Subadviser or any of its Related Persons.

  • Culpable violations of the participant’s duties from the contract or of the provisions of the organizer’s house rules shall entitle the organizer to terminate the contract immediately for good cause if the vio- lations are not discontinued straightaway.

  • Culpable conduct includes, without limitation, failure to provide Access to the meter or premises for inspection, failure of a Customer’s plumber or other authorized party to secure or return a meter permit and failure of a Customer to properly protect the meter.

  • Violent juvenile felony means any of the delinquent acts enumerated in subsection B or C of

  • Conviction means a finding of guilt (including a plea of nolo contendere) or imposition of sentence, or both, by any judicial body charged with the responsibility to determine violations of the Federal or State criminal drug statutes.

  • Willful Misconduct means intentional disregard of good and prudent standards of performance or proper conduct under the Contract with knowledge that it is likely to result in any injury to any person or persons or loss or damage of property.

  • Misconduct means the commission of any act of fraud, embezzlement or dishonesty by the Optionee or Participant, any unauthorized use or disclosure by such person of confidential information or trade secrets of the Corporation (or any Parent or Subsidiary), or any other intentional misconduct by such person adversely affecting the business or affairs of the Corporation (or any Parent or Subsidiary) in a material manner. The foregoing definition shall not in any way preclude or restrict the right of the Corporation (or any Parent or Subsidiary) to discharge or dismiss any Optionee, Participant or other person in the Service of the Corporation (or any Parent or Subsidiary) for any other acts or omissions, but such other acts or omissions shall not be deemed, for purposes of the Plan, to constitute grounds for termination for Misconduct.

  • Fraud means any offence under laws creating offences in respect of fraudulent acts or at common law in respect of fraudulent acts in relation to the Contract or defrauding or attempting to defraud or conspiring to defraud the Crown.

  • Wilful Misconduct means intentional disregard of good and prudent standards of performance or proper conduct under the Contract with knowledge that it is likely to result in any injury to any person or persons or loss or damage of property.

  • Fault means a default, breach, or wrongful act or omission.
