  • At the Closing, Bear Cub shall cause Bear Cub Energy to execute and deliver the Transition Services Agreement and shall cause Bear Cub Energy to perform all its obligations thereunder.

  • From and after the Closing, Pueblo shall not remove Bear Cub or Bear Cub Energy as an additional named insured under the Current Environmental Insurance Policy for so long as the Current Environmental Insurance Policy remains in force; provided, that Pueblo may terminate the Current Environmental Insurance Policy at any time after the Closing.

  • On or prior to the Closing, Bear Cub shall cause Pueblo and Bear Cub Energy, LLC, a Colorado limited liability company (“Bear Cub Energy”), to enter into the Termination Agreement.
