IT Systems and Company Data definition

IT Systems and Company Data means: (i) the Company’s and its Subsidiaries’ information technology assets and equipment, computers, systems, networks, devices, hardware, software, websites, applications (“IT Systems”); and (ii) Personal Data and other data and information relating to customers, employees, suppliers, vendors, service providers, website or application users and visitors, other natural persons and any third party data maintained by or on behalf the Company or any of its Subsidiaries (“Company Data”).

  • Except in each case as would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect, the Company and its subsidiaries are presently and, at all times, have been in compliance with all (i) applicable laws, statutes, judgments, orders, rules and regulations of any court, arbitrator, governmental or regulatory authority; and (ii) internal policies and contractual obligations, each (i) and (ii) relating to the privacy and security of IT Systems and Company Data.

  • The Company is, and since its inception has been, in material compliance with all (i) applicable laws, industry standards, statutes, judgments, orders, rules and regulations of any court, arbitrator, governmental or regulatory authority; (ii) internal policies, and (iii) contractual obligations, each (i) -(iii) relating to the privacy and security of IT Systems and Company Data and to the protection of such IT Systems and Company Data from unauthorized use, access, misappropriation or modification.

  • The Company and its subsidiaries are presently and, at all times, has been in compliance with all (i) applicable laws, statutes, judgments, orders, rules and regulations of any court, arbitrator, governmental or regulatory authority; and (ii) internal policies and contractual obligations, each (i) and (ii) relating to the privacy and security of IT Systems and Company Data.

  • The consummation of the transactions contemplated in this Agreement will not impair or interrupt (i) the Group Companies’ right to access and use any material portion of the Company IT Systems and Company Data, and (ii) to the extent applicable, the Group Companies’ customers’ and subscribers’ right to access and use any material portion of the Company IT Systems and Company Data.

  • Each Group Company has taken commercially reasonable steps to safeguard and maintain the secrecy of any material Trade Secrets included in the Company Owned Intellectual Property or Processed by such Group Company and the Company IT Systems and Company Data and prevent Security Incidents.
