CSE Value definition
CSE Value means the amount determined by dividing (i) the Enterprise Value as of the effective time of the relevant Payout Event by (ii) the number of shares of Common Stock outstanding, on an as converted, fully diluted basis, as of the effective time of the Payout Event; provided however that (1) in the case of a Payout Event resulting from a Sale of the Company, the CSE Value shall mean the Sale Value per CSE and (2) in the case of a Payout Event resulting from a Qualifying Termination or Expiration Date occurring any time after an IPO, the CSE Value shall mean the Trading Value per CSE.
CSE Value means (i) with respect to any share of Common Stock, one (1); and (ii) with respect to any share of Preferred Stock, the number of shares of Common Stock that would be issued upon conversion of such share of Preferred Stock to shares of Common Stock in accordance with the Company Charter.
