If any discrepancies are discovered, Subcontractor shall notify CS Energy in a timely manner.
Further, Subcontractor agrees to indemnify and hold harmless CS Energy, Project Owner, and their respective officers, directors, employees, and agents against any and all loss, cost, damage, expense, or liability by reason, in whole or in part, of Subcontractor’s failure to comply with all applicable legal requirements.

Nothing in this Agreement shall be construed to create a contractual relationship between persons or entities other than CS Energy and Subcontractor.
Subcontractor shall indemnify, defend and hold harmless CS Energy, Project Owner and their officers, directors, lenders, employees and agents from and against all claims, losses, damages, liabilities and expenses, including attorneys’ fees and expenses, arising out of or resulting from hazardous substances introduced, generated, or released to the Project Site by Subcontractor, Subcontractor’s sub-subcontractors or anyone for whose acts they may be liable.
Further, if Subcontractor was to provide any warranties or maintenance bonds or similar documentation that were not provided on account of its for-cause termination, CS Energy shall be entitled to a credit for the reasonable value of such omitted warranties or bonds, etc., as part of its completion costs.
Further, Subcontractor, notwithstanding any claim by it that it is being required to perform extra work or that it is being required to incur compensable extra expense or that it is entitled to a time extension which CS Energy has denied, shall proceed diligently with the performance of the Work, including the disputed work, and, if so inclined, make a claim, where permitted elsewhere in this Agreement and in accordance with the claims procedures set forth herein.
That is, if the dollar value of what CS Energy pays to Brighter Super increases into the future so will the amount paid to the employee’s chosen super fund.
Each such insurance policy, except the Worker’s Compensation Policy, shall include the Project Owner and CS Energy as “Additional Insured.” Waiver of Subrogation: Subcontractor policy will contain a provision that waives all rights against CS Energy, Project Owner and the Project Owner’s consultants, including the architect and engineer and their agents, officers, directors and employees for damages caused by perils covered by the proceeds of insurance to be provided by Subcontractor under this Agreement.
