CRO Contract definition

CRO Contract has the meaning set forth in Section 1.a of this Amendment No. 4.
CRO Contract is that certain Manager-Leasing Contract dated as of August 11, 2024 among Parent, Centogene Germany and Atreus Interim Management GmbH, which replaces, in its entirety, that certain Manager-Leasing Contract dated as of June 4, 2024.

  • In the event Seller or any of its Affiliates fails to pay within five days when due any amounts owing under any CRO Contract (“Pre-Closing CRO Contracts Expenses”), Buyers may pay such amounts and then offset such payments against amounts due under the Additional Convertible Note (which, for the avoidance of doubt, shall not constitute a breach of the “Use of Proceeds” requirements set forth in Section 4.9 of the Securities Purchase Agreement).

  • Such CRO Contract will specify that [***] and that, as between GSK and Isis, [***].

  • The Parties intend that the CRO Contract will be executed by Isis as soon as reasonably practicable after the Amendment No. 4 Effective Date.

  • sub-contract means the primary contractor’s assigning, leasing, making out work to, or employing, another person to support such primary contractor in the execution of part of a project in terms of the contract;
