Critical Mineral Certification definition

Critical Mineral Certification means in respect of this Subscription and Renunciation Agreement the certification in prescribed manner and form by a qualified professional engineer or professional geoscientist (as defined in subsection 127(9) of the Tax Act) that the Qualified Expenditures will be incurred in accordance with an exploration plan that primarily targets Critical Minerals, provided that the qualified professional engineer or professional geoscientist (as defined in subsection 127(9) of the Tax Act): (i) completed the certification no more than 12 months before the Closing Date; and (ii) acted reasonably, in their professional capacity, in completing the certification;
