Each year Roadhouse shall exercise its option by sending a written notice to Cremonini and the JVCO pursuant to Clause 17.1. If Roadhouse will not exercise the option within 90 (ninety) days from the receipt of the yearly audited financial statements of the JVCO, the option set forth in this Clause 7.1 shall be considered automatically terminated for that relevant year, without any further right, effect, obligation, or indemnity upon any of the parties.
Cremonini shall send a written notice in that respect to Roadhouse, pursuant to Clause 17.1 below, within fifteen (15) days from the approval of the financial statements as of December 31, 2005 (which will occur approximately by April 30, 2006).
