  • CREH is qualified to do business as a foreign corporation in each jurisdiction, if any, in which its property or business requires such qualification.

  • These conditions are for CREH's sole benefit and may be waived by CREH at any time in its sole discretion.

  • Each Party will have authorized representatives available at all reasonable times to cooperate with the other Party regarding changes in the rates of delivery of CREH Gas as may be required from time to time.

  • The CREH Shares to be issued to the --------------- Shareholders have been, or on or prior to the Closing will have been, duly authorized by all necessary corporate and shareholder actions and, when so issued in accordance with the terms of this Agreement, will be validly issued, fully paid and non-assessable and will not be issued in violation of the pre-emptive or similar rights of any person.
