The Consultant hereby assigns with full title guarantee by way of future assignment all right, title and interest in and to any Created Materials and the Consultant shall do all such things and execute all such documents as may be necessary or desirable to vest the same in the Client and to defend the Client against claims that works embodying Intellectual Property Rights infringe third party rights, and otherwise to protect and maintain the Intellectual Property Rights in the Created Materials.
Subject to payment of the applicable Charges, the Client shall have a sole, royalty-free licence to use the Created Materials for the purpose for which they were supplied by MBG.
