CRB Fees definition

CRB Fees means Bank’s ordinary course fees and interest accrued pursuant to the Loan Program Agreements.

  • On the Closing Date, the Company shall pay all outstanding out of pocket professional fees and expenses incurred by Cross River under the Existing Agreements prior to the Closing Date and the CRB Fees for the period from December 2022 through the Closing Date referenced in clause (a)(ii) under “Facility Amount” above.

  • Upon the termination of this Agreement by the Company Parties pursuant to a Fiduciary Out, the Company Parties shall pay in cash to CRB an amount equal to (A) the CRB Fees from December 2022 through and including the date of such termination and (B) the invoiced fees and out-of-pocket expenses of the CRB Advisors incurred pursuant to the representation of CRB in connection with this Agreement or the Transaction.
