CP Rating the respective ratings of each of the Rating Agencies applicable to the Borrower's commercial paper as announced by the Rating Agencies from time to time.

CP Rating means the ratings of S&P and Moody's, respectively, applicable to commercial paper (with an original maturity not exceeding one year) of the Borrower that is not guaranteed by any other Person or subject to any other credit enhancement.

CP Rating means, as of any date, the higher of the ratings that have been most recently announced by either S&P or Moo▇▇'▇, ▇s the case may be, for any class of non-credit enhanced commercial paper debt issued by the Borrower. For purposes of the foregoing, (a) if only one of S&P and Moo▇▇'▇ ▇hall have in effect a CP Rating, the Eurodollar Rate Margin and the Facility Fee Percentage may be determined by reference to the available rating; (b) if any rating established by S&P or Moo▇▇'▇ ▇▇all be changed, such change shall be effective as of the date on which such change is first announced publicly by the rating agency making such change; and (c) if S&P or Moo▇▇'▇ ▇▇all change the basis on which ratings are established, each reference to the CP Rating announced by S&P or Moo▇▇'▇, ▇s the case may be, shall refer to the then equivalent rating by S&P or Moo▇▇'▇, ▇s the case may be.
