CP Cost definition

CP Cost means, for any day with respect to any Conduit, an amount equal to the weighted average on such day of the rates at which all Commercial Paper Notes issued by or on behalf of such Conduit to fund or maintain its portion of the Note Balance were sold, which rates shall include all dealer commissions and other costs of issuing such Commercial Paper Notes, whether any such commercial paper notes were specifically issued to fund such portion or are allocated, in whole or in part, to such funding.
CP Cost means, for each day and each CP Vehicle, the sum of (i) discount or yield accrued on Pooled Commercial Paper of the CP Vehicle on such day, plus (ii) any and all accrued commissions in respect of placement agents and Commercial Paper dealers, and issuing and paying agent fees incurred, in respect of such Pooled Commercial Paper for such day, plus (iii) other costs associated with funding small or odd-lot amounts with respect to all receivable purchase facilities which are funded by Pooled Commercial Paper for such day, minus (iv) any accrual of income net of expenses received on such day from investment of collections received under all receivable purchase facilities funded substantially with Pooled Commercial Paper, minus (v) any payment received on such day net of expenses in respect of Broken Funding Costs or similar costs or expenses related to the prepayment of any interest held by the CP Vehicle pursuant to the terms of any receivable purchase facilities funded substantially with Pooled Commercial Paper. In addition to the foregoing costs, if Transferor shall request any increase in the Investor Interest during any period of time determined by the Funding Agent in its sole discretion to result in incrementally higher costs applicable to such increase, the portion of the Investor Interest associated with any such increase shall, during such period, be deemed to be funded by the CP Vehicle in a special pool (which may include capital associated with other receivable purchase facilities) for purposes of determining such additional CP Costs applicable only to such special pool and charged each day during such period against such portion of the Investor Interest.

  • Where we are processing transactions using Electronic Data Interchange You will send separately to CP’s Purchase Ledger Department a spreadsheet showing the purchase order numbers, the CP Cost Centre, the composition of all invoices raised and the price for all Goods and/or Services supplied to CP during the statement period.

  • On each CP Cost Billing Date, Conduit shall calculate the aggregate amount of CP Costs allocated to the Capital of Purchaser Interests for the applicable Accrual Period and shall notify Seller of such aggregate amount.
