CP Certificate definition

CP Certificate shall have the meaning given to it at Clause 3.6;

If such security is not listed or traded on any national securities exchange or quoted in the over-the-counter market, the Current Market Price of such security shall be deemed to be the fair market value of such security as determined in good faith by the Board of Directors of a Controlling Partner and as evidenced by a Board Resolution, which resolution shall be delivered as soon as practicable thereafter to the Trustee; provided, however, that if the Current Market Price of such security is being valued in connection with any Equity Interests owned or purchased by or issued, delivered or otherwise distributed to any of the Company's Affiliates or its Related Persons, then, unless such Equity Interests are being valued in connection with a transaction in which a greater number of New Equity Securities are being issued, delivered or otherwise distributed on the same terms and for the same consideration to Persons that are not Affiliates or Related Persons of the Company, the Current Market Price of such security shall be determined by the opinion of a nationally...
