CP 1 has the meaning set forth in EXHIBIT A.
CP 1 means the Series A Preferred Conversion Price (in the case of the Series A Preferred Stock) or the Series C Preferred Conversion Price (in the case of the Series C Preferred Stock) in effect immediately prior to such issue of Additional Shares of Common Stock;
