• The Company agrees that it will not consummate a transaction, the result of which would directly or indirectly cause the Company to come under the Control of another Company (a "New Parent") without first ensuring that said New Parent to the extent it is engaged in the Business, and any entity that is engaged in the Business with which the New Parent thereafter establishes a Covered Relationship, agrees to be bound by this Neutrality Agreement.

• It is understood that the relationship between the Company and any Other Covered Entity shall be a Covered Relationship.
