Covenant Defeasance definition
Covenant Defeasance has the meaning specified in Section 1303.

Following the Co-Issuers’ exercise of their Covenant Defeasance option, payment of the Notes may not be accelerated because of an Event of Default specified in Section 5.1(a)(iii) (only with respect to the failure of the Co-Issuers to comply with clause (v) of Section 4.3(a)), Section 5.1(a)(iv) (only with respect to covenants that are released as a result of such Covenant Defeasance), and Section 5.1(a)(v), (vi), (vii), (viii) and (ix).
