County Party definition

County Party means all or any of the County, any Affiliate of the County. “Service Provider Party” includes the Service Provider and its Representatives;
County Party means the County and its elected officers, employees and agents.

  • Nothing herein shall be construed as creating any individual or personal liability on the part of any County Party.

  • Provided, however, that the indemnification in this Contract shall not apply to the extent that a final judgment of a court of competent jurisdiction establishes that a Claim against one County Party was caused solely by the negligence or willful misconduct of that County Party.

  • No County Party shall be personally liable to the Consultant or any successor in interest in the event of any default or breach by the County or for any amount which may become due to the Consultant or successor or on any obligation under the terms of this Agreement.

  • No County Party shall be personally liable to the Contractor or any successor in interest in the event of any default or breach by the County or for any amount which may become due to the Contractor or successor or on any obligation under the terms of this Agreement.

  • The Service Provider acknowledges that the County acts as trustee for each other County Party with respect to all rights arising in favour of any of them under this Agreement and that the County has agreed to accept such trust and hold and enforce such rights on behalf of each such County Party.

  • Notwithstanding the forgoing, if a final judgment of a court of competent jurisdiction establishes that a Claim was caused by the gross negligence or willful misconduct of a County Party, County shall be responsible for the costs of defending that Claim.

  • Nothing in this Section shall be construed as obligating Tenant to remediate any condition identified in the County Environmental Assessments or caused by the activities of a County Party.
