County Content definition

County Content means any and all courses, learning objects, certifications, quizzes, tests, materials, instructor-led sessions, or documents created and/or supplied by County.
County Content means Content the County, any End User, or any Additional User (a) runs on the Services, (b) causes to interface with the Services, or (c) uploads to the Services under County’s account or otherwise transfers, processes, provides or stores in connection with County account. County Content does not include Content added to an Additional User’s account under a separate agreement with Contractor. Such Content is subject to the terms and conditions of the separate agreement between the Additional User and the Contractor.
County Content means all software, data, text, audio, video, images or other County content or any software, data, text, audio, video, images, or other content that the County’s end users (a) run on the Axon API Services, (b) cause to interface with the Axon API Services, or (c) upload or download to and from the Axon API Services under the County account or otherwise transfer, process, use or store in connection with the County account.The County controls and owns all right, title, and interest in and to County Content and Axon obtains no rights to the County Content and the County Content are not business records of Axon. Except as otherwise provided herein, County Content shall not be otherwise used, disclosed, sold, assigned, leased or provided, or commercially exploited by or on behalf of Axon and its personnel, including, without limitation, employees, officers, agents, subcontractors, invitees, third party vendors, or assigns(collectively, “Axon”), to any third party in any respect without County’s written consent. The County is solely responsible for the uploading, sharing, withdrawal, management and deletion of County Content. Axon will have limited access to County Content solely for the purpose of providing and supporting the Evidence.com Services to the County and County end users. The County represents that the County owns County Content; and that none of County Content or County end users’ use of County Content or the Evidence.com Services will violate this Agreement or applicable laws. Axon shall not delete or destroy any County Content or other media on which County Content resides during the Initial Term of this Agreement, any Renewal Period, or after termination . During the Initial Term of this Agreement or any Renewal Period, Axon shall upon request promptly return to County, in the format and on the media in use as of the date of the request, any and all requested portion of any County Content it may possess or control. Axon shall not disclose any County Content or confidential information acquired in the course of the performance of the services under this Agreement, unless authorized by law. Axon agrees to safeguard and adhere to all confidentiality, privacy and security requirements according to this Agreement and the applicable federal, State and local rule and regulations for all information deemed confidential.

  • To the extent Contractor owns or claims ownership rights to said County Content, Contractor hereby expressly assigns all said rights, title, and interest in and to the County Content pursuant to this Agreement and at no additional cost.

  • Contractor does not warrant that the Services or the third party content will be uninterrupted, error free or free of harmful components, or that any County Content will be secure or not otherwise lost or damaged.

  • All County and Additional Users’ Rights under this Contract immediately terminate; however, notwithstanding anything in this Section 2.5 to the contrary and regardless of the reason for termination, Contractor will deliver all of the County Content to the County in a mutually agreed upon and reasonable electronic format within 30 days following the termination of the Contract, in accordance with Section 2.6 below.

  • Contractor shall not acquire ownership interest in the County Content.

  • Contractor shall promptly transfer the County Content, EC2 (“Elastic Compute”) Instances, and any top-level credentials, or other necessary multi-factor authentication information to one of the following locations, as determined by the County and at the County’s discretion: (a) the County’s Dormant Account; (b) another Amazon Web Services Provider; or (c) the County’s data center facilities.

  • SITC means the Standard International Trade Classification, Revision 3 (SITC, Rev. 3), published by the United Nations in Statistical Papers, Series M, No. 34/Rev. 3 (1986);
