Guarantor will work with United in good faith to market the COU Flights in a mutually beneficial cost-effective manner.
If a court with jurisdiction makes a final decision with respect to any past, current, or future claim against BPA or any DSI with respect to inclusion in any COU Parties’ PF Rates of any costs or amounts arising from any rate at which BPA serves any DSI, none of the costs of any remedy for such claim may adversely affect, except as provided in section 3.6, the Total Settlement Benefits of any IOU.
BPA will, within 60 days of the Effective Date, deliver to each COU Party a replacement Exhibit H to its CHWM Contract identical in form to the Exhibit H attached to this Settlement Agreement except for the insertion of the appropriate contract number and customer name, which will be effective from the Effective Date without further action or signature by BPA or the COU Party.

Specifically, nothing in this section 14 will limit any COU Party’s right to assert that a Requirement Change (or potential Requirement Change, if enacted), is or would be a breach or violation of the TRM, such COU Party’s CHWM Contract, or any other rate methodology or agreement pursuant to which the COU Party purchases power from BPA during the Payment Period.
The amounts/percentages referred to in Section 3 hereof are based on United’s assumed total cost of jet fuel (into plane) inclusive of all charges including taxes and into plane fees (the “Assumed Baseline Fuel Cost”) for the COU Flights.
