  • The Company does not, directly or indirectly, own (either beneficially or of record) or control any capital stock or other equity interest in any partnership, limited liability company, joint venture or other non-corporate business enterprise other than Carmé Cosmeceutical Sciences, Inc.

  • If the Distributor is not provided with the Cosmeceutical Core Terms in the Cosmeceutical Distribution Proposal, it shall promptly notify the Supplier thereof, the Exercise Notice Period will be extended until the Supplier provides the Cosmeceutical Core Terms.

  • Cosmeceutical products are those poised on the gap between cosmetic products that simply cleanses and beautify and pharmaceuticals that cure and heal.

  • The Distributor may exercise its Cosmeceutical ROFN at any time during the Cosmeceutical Exercise Notice Period (as extended under this Clause 2.6(b).

  • Following the successful completion of the Stage 2 animal studies, Oxis and ▇▇▇▇▇▇ will make a joint decision whether or not to commence human clinical trials (in the case of Pharmaceuticals) and/or testing and distribution for human use (in the case of Dietary Supplements, Cosmeceutical Products, Nutraceutical Products and Medical Foods).
