Corus Transaction definition
Corus Transaction means collectively, (i) the entering into of the Corus Credit Documents and the incurrence of borrowings thereunder (including the issuance of letters of credit), (ii) the consummation of the Corus Acquisitions, (iii) the refinancing of Indebtedness consummated in connection with the transactions described in clauses (i) and (ii), (iv) all intercompany loans, equity contributions, repayments of intercompany loans, dividends, distributions and other intercompany Investments related to the foregoing and (v) the payment of all fees and expenses in connection with the foregoing.
Corus Transaction means, collectively, (i) the entering into of the Existing Term Loan Agreement and the related documentation and the incurrence of Loans on the Initial Borrowing Date, (ii) the refinancing of certain existing Indebtedness of Aleris and the Corus Acquired Business on the Initial Borrowing Date, (iii) the consummation of the Corus Acquisitions, (iv) the incurrence of the Existing Senior Bridge Loans on the Initial Borrowing Date, (v) the incurrence of the Revolving Loans and the issuance of letters of credit under the Existing ABL Credit Agreement on the Initial Borrowing Date, (vi) all intercompany loans, equity contributions, repayments of intercompany loans, dividends, distributions and other intercompany Investments related to the foregoing and (vii) the payment of all fees and expenses in connection with the foregoing.
