The allocations set forth in Subsections 5.2(b)(i), 5.3(a), 5.3(b), 5.3(c), 5.3(d), 5.3(e), 5.3(f) and 5.3(g) and the Corresponding Provisions of the Prior Agreements (the “Regulatory Allocations”) are intended to comply with certain requirements of the Regulations.
In the event that the Collaboration Agreement has been terminated and a Replacement Agreement has been entered into and remains in effect, the Issuer agrees to comply with the provisions set forth in this Section 5.2(dd) with respect to any Corresponding Provisions in such Replacement Agreement (if applicable), mutatis mutandis.
Notwithstanding the foregoing, a breach of the Seller's obligation to pay any adjustment upon the determination of the Net Credit, a breach of Section 4.12, and the Seller's obligation under Section 10.2(a)(iii) shall not be subject to the foregoing limitation, and the amount of the Indemnifiable Losses and Corresponding Indemnifiable Losses in respect thereof or in respect of the Corresponding Provisions shall not be counted in determining whether such limitation has been satisfied.
