Corrective Action Plan has the meaning set forth in Section II.A.2.

Adverse employment action means an action that affects an em- ployee ’s compensation, promotion, transfer, work assignment, or performance evaluation, or any other employment action that would dissuade a reasonable employee from making or supporting a report of abuse or neglect under Family Code 261.101.
Action Plan means an action plan as defined in the AEP Regulations in relation to the Premises;]
Parent Plans has the meaning set forth in Section 6.4(c).
Environmental, Health and Safety Liabilities means any cost, damages, expense, liability, obligation or other responsibility arising from or under any Environmental Law.
Mitigation plan means a proposal that includes the process or means to achieve carbon dioxide mitigation through use of mitigation projects or carbon credits.
Legislative action means the development, drafting, introduction, consideration, modification, adoption, rejection, review, enactment or defeat of any bill, resolution, amendment, report, nomination, proposed administrative rule or other matter by the legislature or by either house or any committee, subcom- mittee, joint or select committee thereof, or by a legislator or employee of the legislature acting in an official capacity. “Legis- lative action” also means the action of the governor in approving or vetoing any bill or portion thereof, and the action of the gover- nor or any agency in the development of a proposal for introduc- tion in the legislature.
Annual Action Plan means any of the plans referred to in Section 3.05 (a) and/or (c) of this Agreement;
Affirmative action means action appropriate to overcome the effects of past or present practices, policies, or other barriers to equal employment opportunity.
Health and Welfare Plans means any plan, fund or program which was established or is maintained for the purpose of providing for its participants or their beneficiaries, through the purchase of insurance or otherwise, medical (including PPO, EPO and HDHP coverages), dental, prescription, vision, short-term disability, long-term disability, life and AD&D, employee assistance, group legal services, wellness, cafeteria (including premium payment, health flexible spending account and dependent care flexible spending account components), travel reimbursement, transportation, or other benefits in the event of sickness, accident, disability, death or unemployment, or vacation benefits, apprenticeship or other training programs or day care centers, scholarship funds, or prepaid legal services, including any such plan, fund or program as defined in Section 3(1) of ERISA.
Rectification Plan means the rectification plan pursuant to the Rectification Plan Process;
Retirement Plans means the retirement income, supplemental executive retirement, excess benefits and retiree medical, life and similar benefit plans providing retirement perquisites, benefits and service credit for benefits at least as great in value in the aggregate as are payable thereunder prior to a Change in Control.
Employee Plans means all Benefit Arrangements, Multiemployer Plans, Pension Plans and Welfare Plans.
Parent Plan has the meaning set forth in Section 7.8(b).
Environmental, Health and Safety Laws means the Comprehensive Environmental Response, Compensation and Liability Act of 1980, the Resource Conservation and Recovery Act of 1976, and the Occupational Safety and Health Act of 1970, each as amended, together with all other laws (including rules, regulations, codes, plans, injunctions, judgments, orders, decrees, rulings, and charges thereunder) of federal, state, local, and foreign governments (and all agencies thereof) concerning pollution or protection of the environment, public health and safety, or employee health and safety, including laws relating to emissions, discharges, releases, or threatened releases of pollutants, contaminants, or chemical, industrial, hazardous, or toxic materials or wastes into ambient air, surface water, ground water, or lands or otherwise relating to the manufacture, processing, distribution, use, treatment, storage, disposal, transport, or handling of pollutants, contaminants, or chemical, industrial, hazardous, or toxic materials or wastes.
Emergency Action Plan means the plan referred to in Section I.G of Schedule 2 to this Agreement, detailing the activities, budget, implementation plan, and monitoring and evaluation arrangements, to respond to the Eligible Crisis or Emergency.
Company Employee Plans has the meaning set forth in Section 3.12(a).
Buyer Benefit Plans has the meaning set forth in Section 6.10(f).
Resettlement Action Plan or “RAP”, means a plan approved by the Association, to be prepared in accordance with the provisions of the RPF, setting forth principles and procedures governing land acquisition or other associated Project impacts, resettlement and compensation of Affected Persons, as well as reporting and monitoring arrangements to ensure compliance with the said plan, as the same may be amended from time to time with the agreement of the Association, and “Resettlement Action Plans” or “RAPs” shall mean such Resettlement Action Plans, collectively.
Seller 401(k) Plan shall have the meaning set forth in Section 6.01(i).
Seller Benefit Plans has the meaning set forth in Section 4.10(a).
Environmental and Social Commitment Plan or “ESCP” means the environmental and social commitment plan for the Project, dated July 31, 2023, as the same may be amended from time to time in accordance with the provisions thereof, which sets out the material measures and actions that the Recipient shall carry out or cause to be carried out to address the potential environmental and social risks and impacts of the Project, including the timeframes of the actions and measures, institutional, staffing, training, monitoring and reporting arrangements, and any environmental and social instruments to be prepared thereunder.
