Corporate Shared Services definition

Corporate Shared Services means the corporate level services provided to the Business as of the date of this Agreement by Parent or any of its Affiliates (other than the Companies) that are set forth on Exhibit 1.1(e).
Corporate Shared Services means the corporate level services provided to the Business as of the date of this Agreement by Seller or any of its Affiliates (other than the Company), including those set forth on Schedule 1.1(d) and those that are included as “Services” to be provided under the Transition Services Agreement.
Corporate Shared Services means the corporate level services provided to the Business as of the date of this Agreement by Sellers or any of their Affiliates (other than the Acquired Companies), including those set forth on Schedule 1.1(c) and those that are included as “Services” to be provided under the Transition Services Agreement.

Examples of Corporate Shared Services in a sentence

  • Tenant and each Operating Subtenant shall maintain sufficient Tenant’s Property (or personal property leased by Tenant or any Operating Subtenant or Corporate Shared Services Property) with respect to each Facility as may be necessary to comply with the Operating Standard.

  • For any Shared Software Licenses not set forth on Schedule 6.11.5, Sellers shall transfer to the applicable Buyers a proportional share of license seats or other license rights or the number of license seats currently used in the Business for those Shared Software Licenses, but Sellers shall not transfer a proportional share of license seats or other license rights for Corporate Shared Services Licenses.

  • Nothing in this Section 3.9(b) shall be construed as a representation or warranty regarding any Leased Real Property to the extent such Leased Real Property is both an Excluded Asset and is used to provide the Corporate Shared Services.

  • Nothing in this Section 3.12(g) shall be construed as a representation or warranty regarding any Internal IT Systems to the extent such Internal IT System is used to provide the Corporate Shared Services.

  • Except as set forth on Schedule 3.8, and for the licenses and services to be provided pursuant to the Transition Services Agreement and the Corporate Shared Services, the assets of the Companies as of the Closing will together constitute all of the assets (i) owned, used or held for use primarily in the conduct of the Business and (ii) are sufficient to operate the Business in the manner presently operated.

  • If Sellers are unable to obtain by the Closing any necessary consents to assign to Buyers any such Shared Software Licenses or Software licenses primarily used in the Business (other than Corporate Shared Services Licenses), then, notwithstanding Section 2.4, at Buyers’ reasonable request, Sellers shall arrange for Buyers to obtain such licenses from the applicable Third Party Licensors.

  • Sellers shall not be obligated to transfer to the applicable Buyers any license seats or other license rights for Corporate Shared Services Licenses, including any such licenses currently used for the benefit of the Business except that Sellers shall purchase or transfer Replacement Licenses and Buyers shall reimburse Sellers for the reasonable costs of such Replacement Licenses up to $1.5 million.
