Corporate IP definition

Corporate IP means all Intellectual Property that is owned by the Corporation.
Corporate IP has the meaning set forth in Section 3.11(a).
Corporate IP means the Intellectual Property (i) that has been developed by or for or is being developed by or for the Corporation and/or a Subsidiary, or (ii) that is being used by the Corporation and/or a Subsidiary, other than Licensed IP;

Examples of Corporate IP in a sentence

  • All required filings and fees related to the Corporate IP Registrations have been timely filed with and paid to the relevant Governmental Authorities and authorized registrars, and all Corporate IP Registrations are otherwise in good standing.

  • No Person has infringed, misappropriated, diluted or otherwise violated, or is currently infringing, misappropriating, diluting or otherwise violating, any Corporate IP.

  • Lucid and the Lucid Subsidiaries are not bound by any outstanding judgment, injunction, order or decree restricting the use of the Corporate IP or restricting the licensing thereof to any Person.

  • Vendor has provided Purchaser with true and complete copies of all such Corporate IP Agreements, including all modifications, amendments and supplements thereto and waivers thereunder.

  • No Person is, to the knowledge of Lucid, infringing, misappropriating, diluting or otherwise violating any of the Corporate IP, and none of Lucid or the Lucid Subsidiaries or their affiliates have made or asserted any Action against any Person alleging any such infringement, misappropriation, dilution or other violation.

  • LIBB has taken all reasonable steps to maintain its Corporate IP and to protect and preserve the confidentiality of all trade secrets included in its Corporate IP, including requiring all Persons having access thereto to execute written non-disclosure agreements.

  • For all such registered Corporate IP, Section 3.11(a) of the Disclosure Schedules lists (A) the jurisdiction where the application or registration is located; (B) the application or registration number; and (C) the application or registration date.

  • The Captus Entities own or has adequate, valid and enforceable rights to use all Corporate IP, free and clear of all Encumbrances other than Permitted Encumbrances.

  • Neither the Target Corporation nor any other party thereto is in breach of or default under (or is alleged to be in breach of or default under), or has provided or received any notice of breach or default of or any intention to terminate, any Corporate IP Agreement.
