Following the completion of the applicable three-year performance period, the Committee will determine the extent to which each of the Performance Goals related to Free Cash Flow and Annual Core Sales Growth as described below have been achieved.
From and after the date that all of the Promotion Conditions are first satisfied and during the Term, each Party shall promote the Product using only the Core Sales Aid, those Promotional Materials that are pre-approved and listed on Schedule 2.2, or other Promotional Materials approved pursuant to this Section 5.5(d), and, in each case, provided by Auxilium, at Auxilium’s expense in accordance with Section 5.8(a).
Core Sales also excludes from reported sales the impact of product line exits, exits from other components of the business, and exits from geographic markets.
